By accessing and/or placing an order with OptionsDepth, you confirm that you agree to and are bound by theseTerms & Conditions (the “Agreement”). These terms apply to the entire website, to the OptionsDepthapplication(s), and to any email or other communication between you and OptionsDepth.
This Agreement is a contract between You and OptionsDepth FZ-LLC, a Free Zone Limited Liability Companyincorporated under the laws of the United Arab Emirates and registered with the Ras Al Khaimah EconomicZone Authority (RAKEZ) (referred to as “OptionsDepth”, “us”, “we” or “our”), the provider of the OptionsDepthwebsites and applications (collectively, the “Website”) and the services accessible from them (the “Services”).
You agree to be bound by this Agreement. If you do not agree, you must not use the Services. “You” refers bothto you as an individual and to any entity you represent. If you violate any of these Terms & Conditions, wereserve the right to suspend or terminate your account without prior notice, subject to any mandatoryprovisions of UAE law.
OptionsDepth FZ-LLC has assumed the operation of the Services previously provided by OptionsDepth / 9362-8519 Quebec Inc. (the “Predecessor Entity”) with effect from 15 May 2026 (the “Migration Date”).
If you previously contracted with the Predecessor Entity, you acknowledge and agree that, with effect from theMigration Date:
Your continued access to or use of the Services on or after the Migration Date constitutes your acceptance ofthis transfer and of this Agreement. If you do not agree to this transfer, you must cease using the Services andmay request termination of your subscription, in which case OptionsDepth FZ-LLC will refund the pro-rataunused portion of any pre-paid fees.
To explain things as clearly as possible, the following terms are used with the meanings set out below:
OptionsDepth is a market-data and analytics product. The Services consist of the collection, processing,organisation, and visualisation of historical and real-time data relating to listed financial instruments, including(without limitation) options positioning data, market-maker Greeks exposure, options flow data, and historicalOHLCV (open, high, low, close, volume) data, presented to users through dashboards, charts, tables, andapplication programming interfaces
The Services are designed for use by individuals and entities conducting their own research and analysis offinancial markets, in the same category as other established market-data and analytics products. The Servicesprovide access to processed market data and analytical visualisations; they do not provide opinions,recommendations, or directions concerning specific transactions or specific financial instruments.
OptionsDepth is licensed by, and operates under the supervision of, the Ras Al Khaimah Economic ZoneAuthority (RAKEZ) under Licence No. 45030057. The Services do not constitute, and OptionsDepth does notperform, any activity that requires authorisation from the UAE Securities and Commodities Authority (SCA), theCentral Bank of the UAE, the Dubai Financial Services Authority (DFSA) of the DIFC, the Financial ServicesRegulatory Authority (FSRA) of ADGM, or any other financial-services regulator in any jurisdiction.
You acknowledge and agree that the Services are an information service only. In particular, and withoutlimitation:
You are solely responsible for any and all investment, trading, and financial decisions you take, whether or notsuch decisions are made in reliance on the Services. You acknowledge that trading in options and otherderivatives involves substantial risk of loss and is not suitable for all investors. OptionsDepth shall have noliability whatsoever for any trading, investment, or other decisions made by you or any third party on the basisof, in connection with, or following any use of the Services.
OptionsDepth grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited license toaccess and use the Website and Services strictly in accordance with this Agreement, for your own personal orinternal business purposes, and not for redistribution, resale, or commercial exploitation by any third party.Where you have subscribed to an enterprise or commercial plan, the scope of permitted use is further definedby the applicable order form or enterprise agreement.
The Company may provide you with certain information as a result of your use of the Website or Services,including documentation, data, and other materials (“Company Materials”). Subject to this Agreement, theCompany grants you a non-exclusive, limited, non-transferable and revocable license to use the CompanyMaterials solely in connection with your use of the Website and Services. The Company Materials may not beused for any other purpose, and this license terminates upon your cessation of use of the Website or Services orupon termination of this Agreement
No rights are granted to you under this Agreement other than as expressly set out herein. In particular, andwithout limitation, you are not permitted to redistribute, resell, sublicense, or provide the Company Materials orany data derived from them to any third party, whether for a fee or free of charge.
If API access is made available to you as part of, or as an add-on to, your subscription, your use of the API issubject to the following additional terms, which apply in addition to (and not in place of) all other provisions ofthis Agreement.
Credentials. API keys, tokens, and any other credentials issued to you for the purpose of accessing the API(“API Credentials”) are confidential. You may not share, transfer, sell, sublicense, embed in any public-facingcode repository, or otherwise make API Credentials available to any third party. You are solely responsible for allactivity carried out using your API Credentials, whether authorised by you or not, until you have notifiedOptionsDepth that the credentials have been compromised.
Permitted Use. API access is provided solely for use within the scope of your subscription, order form, orwritten agreement with OptionsDepth. You may not use the API, or any output, content, or data obtainedthrough it, to operate, power, or support any external dashboard, application, bot, alerting service, signalservice, paid community, redistributed dataset, data feed, or competing product, in each case without the priorwritten consent of OptionsDepth. All output, content, and data obtained through the API constitutes “output”for the purposes of Section 9 (Restrictions) and remains subject to the restrictions set out therein.
Rate Limits and Technical Restrictions. You must comply with the rate limits, request quotas, and othertechnical restrictions applicable to your subscription tier, as published by OptionsDepth from time to time. Youmay not circumvent or attempt to circumvent any rate limit, quota, access control, or technical restriction,including by means of multiple keys, multiple accounts, IP rotation, or any similar method.
Monitoring. You acknowledge that OptionsDepth may log and analyse API usage for the purposes of detectingabuse, ensuring compliance with this Agreement, maintaining service quality, and improving the Services.
Suspension. OptionsDepth may, at its sole discretion, suspend or revoke API access for any breach of thisAgreement, including for abuse, excessive usage, credential sharing, or rate-limit circumvention.
You must be at least 18 (eighteen) years of age to use the Website or any Services, consistent with Article 85 ofthe UAE Civil Code relating to contractual capacity. By using the Website or the Services, you represent andwarrant that you are at least 18 years of age and may legally enter into this Agreement. The Company assumesno responsibility or liability for any misrepresentation of your age.

OptionsDepth may, at its sole discretion and without liability, suspend or terminate your access to the Services at any time if it reasonably believes a breach of this section has occurred or is likely to occur.
You are strictly prohibited from using the Website or any of the Services for unlawful or unsolicited bulk emailactivities, including gathering email addresses or personal information from others or sending mass commercialcommunications contrary to applicable law.
If you register for any of our paid plans, you agree to pay all fees and charges for the Services in accordancewith the pricing and billing terms in effect at the time the fee or charge is due and payable. Fees may be quotedin United States Dollars (USD), in United Arab Emirates Dirhams (AED), or in such other currency asOptionsDepth may publish on the Website from time to time.
Unless otherwise stated, all prices are exclusive of UAE Value Added Tax (VAT) at the prevailing rate (currently5%), which will be added where applicable. You are responsible for any withholding taxes, duties, or othergovernmental charges imposed on your payments, and you may not deduct any such amounts from the feespayable to OptionsDepth.
Unless otherwise indicated in an order form, you must provide OptionsDepth with a valid payment methodaccepted by OptionsDepth (the “Payment Provider”) as a condition of subscribing to any paid plan. Youragreement with the Payment Provider governs your use of that payment method; you must refer to thatagreement to determine your rights and liabilities with respect to your Payment Provider. By providing yourpayment details, you authorise OptionsDepth to verify them and to charge your payment method for all feesand charges due, without any additional notice or consent being required.
You must immediately notify OptionsDepth of any change in your billing address or payment method.OptionsDepth reserves the right to change its prices, subscription plans, and billing methods at any time,effective upon posting on the Website or notice to you (or, if applicable, your organisation’s administrator).
OptionsDepth reserves the right, in its sole discretion, to reject, refuse, or cancel any order or subscription atany time and for any reason, including errors or omissions in the information you provide. If OptionsDepth doesso after payment has been processed, it will issue a refund in the amount charged, without thereby creating anyliability to you. OptionsDepth may also request additional information prior to confirming a sale or subscriptionand reserves the right to place additional restrictions on subscriptions. You are responsible for any third-partyfees that you may incur in subscribing to or using the Services.
By submitting an order, completing payment, or otherwise indicating your acceptance of this Agreement(including by clicking “I accept”, creating an account, or commencing use of the Services), you becomeimmediately bound by this Agreement, including all warranties, restrictions, and obligations set out herein.
OptionsDepth’s obligation to provide the Services is conditional on its acceptance of your order. Acceptanceoccurs when OptionsDepth provides you with access to the Services. Successful payment processing doesnot, by itself, constitute acceptance.
If you fail to pay any undisputed amount when due, you shall reimburse OptionsDepth for any reasonable costsincurred in the collection of such amounts, including legal fees and court costs.
Any feedback, comments, ideas, improvements or suggestions (collectively, “Suggestions”) provided by youto OptionsDepth with respect to the Website or Services shall remain the sole and exclusive property ofOptionsDepth. OptionsDepth shall be free to use, copy, modify, publish, or redistribute the Suggestions for anypurpose, in any way, and in any medium in perpetuity, without credit or compensation to you.
By accessing or using the Website, registering an account, or using or subscribing to the Services, you herebyconsent to this Agreement and to the processing of your personal data in accordance with our Privacy Policy, tothe extent such processing requires consent under UAE Federal Decree-Law No. 45 of 2021 on the Protectionof Personal Data (the “UAE PDPL”).
OptionsDepth may require you to register or set up an account to use certain Services or portions of theWebsite. You may be required to choose, or be provided with, a password, user ID, and other registrationinformation (collectively, “Registration Information”).
You represent that all Registration Information provided is accurate and up to date and undertake to update it asnecessary. You may not impersonate, imitate, or pretend to be any other person when registering.
You are solely responsible for maintaining the confidentiality of your Registration Information. You may notshare your Registration Information with, or allow access to your account by, any third party. You are solelyresponsible for all usage or activity on your account, including use by any person who accesses yourRegistration Information, with or without authorisation.
If you have reason to believe that your account is no longer secure, you must promptly change your RegistrationInformation and notify OptionsDepth via the contact details set out below.
The Services may contain links to other websites or display, include, or make available third-party content(including data, information, applications and other products and services) (“Third-Party Services”) notoperated or controlled by OptionsDepth. We are not responsible for the content, accuracy, completeness,timeliness, validity, copyright compliance, legality, decency, quality, or opinions expressed in any Third-PartyServices, nor do we investigate, monitor, or check them for accuracy or completeness. When you leave theServices via such a link, your browsing and interaction on any other website is subject to that website’s ownrules and policies. Third-Party Services and links thereto are provided solely as a convenience to you, and youaccess and use them entirely at your own risk and subject to the terms and conditions of the relevant thirdparty.
Certain data made available through the Services is sourced from third-party exchanges, market-data vendors,or other data providers (collectively, “Data Sources”). Such data may be subject to additional licensing terms, redistribution restrictions, display requirements, attribution obligations, or other conditions imposed by therelevant Data Source.
You agree not to use the Services in any manner that would cause OptionsDepth to breach any agreement,policy, or licence with any Data Source, including by redistributing, republishing, or commercially exploiting anydata sourced from a Data Source in a manner inconsistent with the terms applicable to that data. OptionsDepthmay, without notice, modify, restrict, or suspend access to data sourced from any Data Source if required to doso by the relevant Data Source or by applicable law.
In the event of any conflict between this Agreement and any mandatory restriction imposed by a Data Source,the more restrictive condition shall apply to your use of the relevant data.
OptionsDepth uses "cookies" to identify the areas of the Website you have visited and to enhance performance and functionality. Most web browsers can be set to disable cookies; however, disabling cookies may impair your access to the Website or the Services. For further information, please refer to our Privacy Policy.
You acknowledge that OptionsDepth may stop (permanently or temporarily) providing the Services (or any features within the Services), or access to the Website, to you or to users generally, at OptionsDepth's sole discretion, without prior notice. In the event of permanent discontinuation of a paid plan, OptionsDepth shall refund any pre-paid fees attributable to the unused portion of the subscription period. You may stop using the Website or Services at any time.
OptionsDepth reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Website or any service to which it connects, with or without notice and without liability to you, subject to the refund provision above in respect of paid subscriptions.
OptionsDepth may from time to time provide enhancements or improvements to the features or functionality of the Website or Services, including patches, bug fixes, updates, upgrades and other modifications ("Updates"). Updates may modify or delete certain features or functionality. You agree that (i) OptionsDepth has no obligation to provide any Updates or to continue to provide or enable any particular feature or functionality; and (ii) all Updates shall be deemed an integral part of the Website or Services and subject to this Agreement.
This Agreement shall remain in effect until terminated by you or by OptionsDepth. OptionsDepth may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice, subject to any mandatory provisions of UAE law.
This Agreement will terminate immediately, without prior notice from OptionsDepth, if you fail to comply with any provision of this Agreement. You may also terminate this Agreement by ceasing all use of the Website and deleting all copies of the Website from your Devices.
Upon termination, you shall cease all use of the Website and delete all copies of the Website and Company Materials from your Devices. Termination of this Agreement will not limit any of OptionsDepth's rights or remedies at law or in equity in respect of any prior breach by you. All provisions of this Agreement that by their nature are intended to survive termination, including those relating to intellectual property, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and any accrued payment obligations, shall survive termination of this Agreement.

The Website and Services are provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects, without warranty of any kind. To the maximum extent permitted under applicable UAE law, OptionsDepth, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Website and the Services, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties that may arise out of course of dealing, course of performance, or usage of trade.
Without limiting the foregoing, OptionsDepth makes no representation or warranty: (i) as to the operation or availability of the Website or the Services, or the information, data, content and materials included therein; (ii) that the Website or the Services will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided; or (iv) that the Website, its servers, the content, or any communications sent from or on behalf of OptionsDepth are free of viruses, malware, or other harmful components.
OptionsDepth is a distributor and not a publisher of any third-party content made available through the Services; as such, OptionsDepth exercises no editorial control over such content and disclaims all warranties and representations relating to it. No oral or written advice given by OptionsDepth or any of its affiliates, employees, officers, directors, or agents shall create a warranty.
The Website and Services are provided for informational and analytical purposes only, as further described in Sections 3 and 4 above. You acknowledge and agree that:
To the maximum extent permitted by UAE law, including Articles 282 and 283 of the UAE Civil Code (FederalLaw No. 5 of 1985, as amended) concerning tortious liability, OptionsDepth excludes liability for any loss arisingfrom your use of, or reliance on, the Services, save in respect of liability that cannot lawfully be excluded underapplicable UAE law.
The Company does not accept responsibility for the security of your account, other than as may be expressly provided in this Agreement or in our Privacy Policy. You agree that your use of the Website and Services is at your own risk.
The Company processes personal data in accordance with the UAE PDPL (Federal Decree-Law No. 45 of 2021) and the OptionsDepth Privacy Policy, which forms part of this Agreement by reference.
Notwithstanding any damages that you might incur, the entire liability of OptionsDepth and its suppliers underany provision of this Agreement, and your exclusive remedy for all of the foregoing, shall be limited to theamount actually paid by you to OptionsDepth for the Website or Services in the twelve (12) months precedingthe event giving rise to the liability.
To the maximum extent permitted by applicable law, in no event shall OptionsDepth or its suppliers be liable for any special, incidental, indirect, punitive or consequential damages whatsoever (including, without limitation, damages for loss of profits, loss of data, business interruption, loss of opportunity, loss of trading gains or avoidance of trading losses, personal injury, or loss of privacy) arising out of or in any way related to the use of, or inability to use, the Website or the Services, even if OptionsDepth or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
Nothing in this Agreement shall exclude or limit any liability which cannot be excluded or limited under the applicable laws of the United Arab Emirates, including liability for fraud or gross negligence.
The Website and its entire contents, features, and functionality (including all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof) are owned by OptionsDepth, its licensors, or other providers of such material, and are protected by UAE Federal Decree-Law No. 38 of 2021 concerning Copyrights and Neighboring Rights, UAE Federal Decree-Law No. 36 of 2021 on Trademarks, the UAE Commercial Transactions Law in respect of trade secrets, and applicable international treaties to which the UAE is a party.
None of the material may be copied, modified, reproduced, downloaded, or distributed in any way, in whole or in part, without the express prior written permission of OptionsDepth, except as expressly permitted by this Agreement. Any unauthorised use of the material is prohibited and may constitute a breach of applicable intellectual-property law.
You agree that the Company owns all right, title, and interest in and to the Company IP and that you shall not use the Company IP for any unlawful or infringing purpose. You agree not to reproduce or distribute the Company IP in any way, including electronically or through the registration of any new trademarks, trade names, service marks, or Uniform Resource Locators (URLs), without the express written permission of the Company.
The Company, through the Website and Services, may engage in affiliate marketing whereby the Company receives a commission on or percentage of the sale of goods or services on or through the Website or Services. The Company may also accept advertising and sponsorships from commercial businesses or receive other forms of advertising compensation. This disclosure is made in order to comply with applicable laws and guidelines, including the UAE Federal Decree-Law No. 15 of 2020 on Consumer Protection and the advertising and influencer-marketing requirements of the UAE Media Council, where applicable.
If you submit or post any ideas, creative suggestions, designs, information, data, or proposals, including ideas for new or improved products, services, features, technologies or promotions, you expressly agree that such submissions will automatically be treated as non-confidential and non-proprietary and will become the sole property of OptionsDepth without any compensation or credit to you, subject to any non-waivable rights you may have under UAE law. OptionsDepth and its affiliates shall have no obligations with respect to such submissions and may use the ideas they contain for any purpose, in any medium, in perpetuity.
This Agreement shall be governed by, and construed in accordance with, the federal laws of the United Arab Emirates as applied in the Emirate of Ras Al Khaimah.
Subject to the following paragraph, the courts of the Emirate of Ras Al Khaimah shall have exclusive jurisdiction to hear and determine any dispute, controversy, or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, breach, or termination (a "Dispute"), and you irrevocably submit to the exclusive jurisdiction of those courts.
Notwithstanding the foregoing, OptionsDepth shall be entitled, at its sole discretion, to bring proceedings or seek interim, provisional, or injunctive relief (including to protect the Company IP or any confidential information) before any court of competent jurisdiction in any other emirate or country where such relief may be effective, without thereby waiving the exclusivity of the jurisdiction granted to the courts of Ras Al Khaimah for all other purposes.
In the event of a Dispute, the parties shall first attempt to resolve the Dispute through good-faith negotiation. Either party may serve a written Notice of Dispute on the other, setting out the name, address, and contact information of the party giving it, the facts giving rise to the Dispute, and the relief requested. Any Notice of Dispute must be sent to the email address set out in the "Contact Us" section and, in the case of a Notice served on OptionsDepth, with a copy sent by registered post or courier to the registered office of OptionsDepth FZ-LLC. The parties shall attempt in good faith to resolve the Dispute within sixty (60) days from the date the Notice of Dispute is sent. After sixty (60) days, either party may commence proceedings before the competent court.
OptionsDepth operates and provides the Services from its registered office in the Ras Al Khaimah Economic Zone (RAKEZ), United Arab Emirates. The Services are made generally available via the internet, but they are not directed at, marketed to, or intended for use by any person or entity in any jurisdiction or country where:
OptionsDepth makes no representation or warranty that the Services are appropriate, available, or lawful for use in any particular jurisdiction. Any person who chooses to access or use the Services from any jurisdiction does so on their own initiative and at their own risk, and is solely and exclusively responsible for compliance with all applicable local laws, regulations, licensing requirements, and tax obligations of that jurisdiction.
By accessing or using the Services, you represent, warrant, and undertake that:
OptionsDepth reserves the right, at any time and in its sole discretion, to restrict or block access to the Services from any jurisdiction, without prior notice and without liability.
Neither party shall be liable for any failure or delay in the performance of its obligations under this Agreement(other than any payment obligation) to the extent that such failure or delay is caused by an event beyond itsreasonable control, including acts of civil or military authority, riots, embargoes, acts of nature, natural disasters,pandemics, governmental actions, cyber-attacks, or failures of telecommunications or utility services. Thissection shall be interpreted consistent with Article 273 of the UAE Civil Code.
If any provision of this Agreement is held by a court of competent jurisdiction to be unenforceable or invalid, that provision shall be amended and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.
The failure to exercise a right or to require performance of an obligation under this Agreement shall not affect a party's ability to exercise that right or require performance at any later time, nor shall the waiver of a breach constitute a waiver of any subsequent breach.
You and OptionsDepth agree that, to the maximum extent permitted by applicable UAE law, any cause of action arising out of or related to the Services or this Agreement must be commenced within three (3) years after the cause of action accrues, failing which such cause of action shall be permanently barred.
OptionsDepth reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least fourteen (14) days' notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion, acting reasonably. By continuing to access or use the Website or Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must cease using the Website and Services.
You acknowledge that this Agreement may be accepted electronically (including by clicking "I accept" or a similar button, by creating an account, or by using the Services), and that such electronic acceptance constitutes a valid, binding, and enforceable agreement under UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services and any successor or replacement legislation.
The governing language of this Agreement is English. If this Agreement is translated into Arabic or any other language for convenience or for use in any proceedings, the English version shall prevail in the event of any inconsistency, save where a UAE court requires the submission of an Arabic translation, in which case such translation shall be prepared by a registered legal translator at OptionsDepth's election or as required by the court, and shall be solely for the purposes of those proceedings.
You acknowledge that any unauthorised access, scraping, redistribution, disclosure, copying, screenshot leakage, or competitive use of the Services or Company IP may cause irreparable harm to OptionsDepth for which monetary damages may be inadequate. Accordingly, OptionsDepth shall be entitled to seek injunctive, equitable, or other urgent relief in any court of competent jurisdiction, without any obligation to prove actual damages or to post a bond or surety, in addition to any other remedies available at law or in equity.
This Agreement, together with the Privacy Policy and any other legal notices published by OptionsDepth on the Website, constitutes the entire agreement between you and OptionsDepth regarding your use of the Website and Services and supersedes all prior and contemporaneous written or oral agreements between you and OptionsDepth on the same subject matter. You may be subject to additional terms and conditions that apply when you use or purchase certain other OptionsDepth services, which will be provided to you at the time of such use or purchase.
Any waiver of any provision of this Agreement shall be effective only if in writing and signed by an authorised representative of OptionsDepth. The section headings used in this Agreement are for convenience only and shall not be given any legal effect.
OptionsDepth may, from time to time, offer contests, promotions, sweepstakes, or other activities ("Promotions"), which may be governed by separate rules. In the event a subscription plan or service is listed at an incorrect price or with incorrect information due to typographical error, OptionsDepth reserves the right to refuse or cancel any order placed at the incorrect price, whether or not the order has been confirmed and your payment method charged; if your payment method has already been charged, a credit will be promptly issued in the amount of the charge.
